1. Agreement to these terms

These Terms of Use are a legally binding agreement between you, personally or on behalf of an entity (“you”), and Invata Global Enterprises Inc. and its companies, including Invata Global Capital and Invata Global Marketing (“Invata Global,” “we,” “us,” or “our”). They govern your access to and use of invataglobal.com, invataglobalcapital.com, invataglobalmarketing.com, policies.invataglobal.com, invata.global, their subdomains, and any related forms, emails, and online features (together, the “Sites”).

By using the Sites, you agree to these Terms of Use, our Privacy Policy, our Cookie Policy, and our Disclaimer. If you do not agree, do not use the Sites.

The Sites are intended for users who are at least 18 years old. The information on the Sites is intended for people in the United States and is not intended for distribution to or use by any person in any jurisdiction where that would be contrary to law or would subject us to any registration requirement.

2. Services and other agreements

The Sites describe our companies and services. Marketing, branding, web development, and other client services are provided only under a separate written agreement, such as a proposal, statement of work, or services agreement, which controls if it conflicts with these Terms. Investments with Invata Global Capital are offered only through confidential offering documents, which control over anything on the Sites. Nothing on the Sites is an offer to sell or a solicitation of an offer to buy any security.

3. Intellectual property

Unless otherwise noted, the Sites and their content, including text, graphics, photographs, designs, software, and the Invata Global names and logos (the “Content”), are owned by or licensed to us and are protected by copyright, trademark, and other laws. You may view and print pages for your personal, non-commercial use or to evaluate our services. You may not copy, reproduce, republish, sell, distribute, or create derivative works from the Content without our prior written permission. Third-party trademarks shown on the Sites belong to their owners.

4. Your representations

By using the Sites, you represent that: (1) you have the legal capacity to agree to these Terms; (2) you are at least 18 years old; (3) information you submit is true, accurate, current, and complete, and you will keep it updated; (4) you will not use the Sites for any illegal or unauthorized purpose; and (5) your use of the Sites will not violate any applicable law. When you submit information on behalf of a company, you represent that you are authorized to do so.

5. Prohibited activities

You agree not to:

6. Submissions

If you send us questions, comments, ideas, or feedback (“Submissions”), you agree that we may use them for any lawful purpose without obligation or compensation to you. Do not send confidential information through the Sites unless we have agreed in writing to keep it confidential. Information you submit through forms is handled as described in our Privacy Policy.

7. Third-party websites and services

The Sites may link to or include content from third parties, such as scheduling tools, payment processors, video, and social media. We do not control and are not responsible for third-party websites, content, products, or services, and your use of them is governed by their own terms and privacy policies.

8. Site management and availability

We may, but are not required to, monitor the Sites for violations of these Terms; take appropriate legal action against anyone who violates them; refuse, limit, or remove any submission; and otherwise manage the Sites to protect our rights and property and to keep them working properly. We may change, suspend, or discontinue any part of the Sites at any time without notice, and we are not liable if the Sites are unavailable at any time.

9. Term and termination

These Terms remain in effect while you use the Sites. We may, at our sole discretion and without notice, deny access to and use of the Sites to any person for any reason, including a breach of these Terms or of applicable law.

10. Disclaimer of warranties

THE SITES AND CONTENT ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE, OR FREE OF ERRORS OR HARMFUL COMPONENTS. See also our Disclaimer.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES WILL NOT EXCEED $10,000.00 USD. SOME STATES DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES OR WARRANTIES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold us harmless, including our affiliates, officers, employees, and agents, from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your use of the Sites; (2) your breach of these Terms; or (3) your violation of the rights of a third party or of any law.

13. Electronic communications

Visiting the Sites, sending us emails, and completing online forms are electronic communications. You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You agree to the use of electronic signatures and records. Marketing emails and texts are sent only as described in our Privacy Policy, and you can opt out at any time.

14. Governing law and disputes

These Terms and your use of the Sites are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles. Any legal action relating to these Terms or the Sites must be brought in the state or federal courts located in Maricopa County, Arizona, and you and we consent to the personal jurisdiction and venue of those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply. Any claim relating to the Sites must be brought within one (1) year after the cause of action arose, to the extent permitted by law.

15. California users

If a complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

16. Changes to these terms

We may update these Terms from time to time. We will change the “Last updated” date at the top when we do, and the updated Terms apply when posted. If a change is material, we will provide additional notice where required by law. Your continued use of the Sites after changes are posted means you accept them.

17. Miscellaneous

These Terms, together with the policies referenced in them and any separate written agreement with us, are the entire agreement between you and us about the Sites. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them. Nothing in these Terms creates any partnership, employment, joint venture, or agency relationship.
